Transaction in Own Shares & TVR

Leeds Group announces that on 1 February 2012 it purchased 760,000 of its own Ordinary Shares to be held in treasury. The shares were purchased at 17.75p each.

As a result of the above purchase, the total number of Ordinary Shares now held in treasury is 3,805,658 and the number of Ordinary Shares in issue (not including those held in treasury) is 27,794,342.

For the purposes of the Disclosure and Transparency Rules, the Company's total issued share capital at the date of this notice comprises 31,600,000 ordinary shares of 12p each, with one voting right per share. There are 3,805,658 shares held in treasury, representing 12.0% of the total issued share capital.

The total number of voting rights in the Company is therefore 27,794,342. 

The above figure of 27,794,342 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.

As a result of this transaction the following shareholders percentage of ordinary shares held by them, (excluding those shares held in treasury), is now as follows:
