IN BRIEF: Leeds Group shareholders pass proposed Hemmers disposal

Leeds Group PLC - West Yorkshire, England-based textile manufacturing company - Says shareholders overwhelmingly pass resolution at general meeting in favour of the proposed USD657,000 sale of its subsidiary Hemmers-Itex Textil Import Export GmBH to Nooteboom Bidco BV, as agreed last month. Says 15.1 million shares voted in favour of the deal, with 127,000 against. Expects the sale to complete on or around January 31. Says the effect of the proposed sale will be that the company will no longer have any trading business or activities and will become a cash shell under AIM rules. As such, it must make an acquisition which constitutes a reverse takeover under AIM rules within six months of completion or be re-admitted to trading on AIM as an investing company. Failing that, its shares would then be suspended from trading. Notes admission to trading on AIM would be cancelled six months from the date of suspension, should the reason for the suspension not have been rectified.

Leeds Group shares up, agrees to sell subsidiary to become cash shell

(Alliance News) - Leeds Group PLC on Friday said it conditionally agreed to sell its subsidiary Hemmers-Itex Textil Import Export GmBH to a subsidiary of Nooteboom Bidco BV.

IN BRIEF: Leeds Group loss narrows, continues focus on cutting costs

Leeds Group PLC - West Yorkshire, England-based textile manufacturing company - In the financial year that ended May 31, pretax loss narrows to GBP893,000 from GBP3.2 million a year earlier, while pretax loss from continuing operations narrows to GBP814,000 from GBP875,000. Revenue falls to GBP27.8 million from GBP29.6 million. Non-Executive Chair Jan Holmstrom says: "The group's focus is now solely to return Hemmers to profitability. Hemmers management will continue to assess the cost base to make sure it aligns with the reduced sales levels and look to make efficiencies wherever they can to ensure Hemmers is as competitive as it can be in the marketplace. The directors will continue to look at all options available to the group to maximise shareholder value."
