COMPLETION OF VOLUNTARY OFFER - INTENTION TO MAKE MANDATORY OFFER
Reference is made to the offer document dated 19 May 2011 (the "Offer Document") published by Lamprell plc regarding the recommended voluntary cash offer (the "Offer") for 100 per cent. of the shares of Maritime Industrial Services Co. Ltd. Inc. ("MIS") made by its wholly-owned subsidiary Lamprell Investment Holdings Ltd. (together with Lamprell plc, "Lamprell").
The settlement of the Offer has been completed. Following the settlement, Lamprell has acquired 48,088,027 shares in MIS, amounting in aggregate to 99.78 per cent. of the share capital and voting rights in MIS.
As Lamprell has become the holder of shares in MIS representing more than one-third of the voting rights in MIS, Lamprell is obliged under the Norwegian Securities Trading Act and the bye-laws of MIS to make a mandatory unconditional offer for the remaining shares in MIS (the "Mandatory Offer"). Lamprell intends to make the Mandatory Offer on or around 20 July 2011. The offer price in the Mandatory Offer will be NOK 38 per share in MIS with settlement in cash, which is the same as under the Offer.
