Keras Resources plc ('Keras' or the 'Company')

Issue of Equity

Keras Resources (AIM:KRS), announces that further to its announcement of 30 June 2022 regarding the proposed consolidation of the Company's ordinary shares of 0.01p each ("Ordinary Shares") in issue so that every 100 existing Ordinary Shares will be consolidated into 1 ordinary share of 1p (the "Consolidation"), the Company has issued 32 new Ordinary Shares to the Company's registrar so that prior to the Consolidation, the Company's issued share capital will be exactly divisible by 100. Application has been made for the 32 new Ordinary Shares to be admitted to trading on AIM which is expected to take place on or around 20 July 2022 ("Admission").

Following Admission of the 32 new Ordinary Shares, the Company's enlarged issued share capital will comprise 7,973,573,100 Ordinary Shares. This figure of 7,973,573,100 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the Disclosure Rules and Transparency Rules of the United Kingdom Financial Conduct Authority.
