Under the over-allotment structure, contained in a sale and put agreementbetween NC KMG and the underwriters (the ''Sale and Put Agreement''), NC KMGgranted the Underwriters a put option, exerciseable for a period of up to 30days from the commencement of dealings, to require NC KMG to purchase from theUnderwriters, at the offer price, any GDRs which have been purchased in themarket as a result of stabilisation activities.
