APPLICATION FOR SHARE LISTING: SCRIP DIVIDEND

Kier Group plc (the "Company") announces that application has been made to the UK Listing Authority and the London Stock Exchange for 1,008,009 ordinary shares of 1 pence each in the capital of the Company (the "Shares"), to be admitted to the premium segment of the Official List of the UK Listing Authority and to be traded on the main market of the London Stock Exchange.

The Shares will be issued pursuant to the Company's scrip dividend alternative in respect of the final dividend for the year ended 30 June 2016 and will rank pari passu with the existing issued ordinary shares of the Company. Dealings in the Shares are expected to commence at 8.00 a.m. on 2 December 2016.
