In accordance with the Disclosure Rules 3.1.4R (1), KCOM confirms that the following directorsย wereย invited to participate in the Long Term Co-Investment Plan (LTCIP) for theย 12 month period ending 31 August 2009ย and have each accepted that invitation. The Plan was approved by shareholders at the Company's Annual General Meeting on 1 August 2007, and in line with the Plan rules, shares have been boughtย or transferredย on behalf of the directors as follows:

(2)ย Under the rules of the scheme participants are allowed to transfer in any shares already held in their own name.ย
Each participant has entered into a 12 month contract with the Company and the trustees of the Plan to allow the individual to issue instructions to the trustees during an open period. Malcolmย Fallen,ย Paulย Simpson,ย Paul Renucciย andย Neilย Gowerย have elected toย haveย monthlyย share purchasesย made on their behalfย and these mayย take placeย during a close period providing the individual does not vary his instruction during such a period.
KCOM confirmsย that allย individual instructionsย to the trustees were given in an open period.ย
