QUESTER VCT PLCRESULT OF ANNUAL GENERAL MEETINGThe Directors of Quester VCT plc ("VCT1") announce that the resolution proposedto effect the merger, by way of a Scheme of Arrangement, with Quester VCT 2 plc("VCT2") and Quester VCT 3 plc ("VCT3") at the Annual General Meeting heldyesterday was duly passed.As part of the Scheme, VCT2 has issued one 5 pence share to VCT1 and VCT3 hasissued one 1 pence share to VCT1. Application will be made for these shares tobe admitted to the Official List of the UK Listing Authority and to trading onthe London Stock Exchange. Admission is expected to become effective on 17 June2005.Subject to approval of the Scheme at the Court hearing scheduled for 28 June2005, it is expected that the effective date of the merger will be 29 June2005, at which time a further announcement, to include information on theFormula Asset Value calculations, will be made.14 June 2005ENDQUESTER VCT PLC
