Issue of Equity
Kape Technologies plc (AIM: KAPE), the digital security and privacy software business, announces the issue of 764,692 ordinary shares of US$0.0001 each ("Ordinary Shares") pursuant to the acquisition of LTMI Holdings ("LTMI"), as previously announced on 13 December 2019 (the "LTMI Acquisition"). As part of the consideration for the LTMI Acquisition, Kape announced the issuance of new Ordinary Shares to four senior executives of LTMI, of which 764,692 were to be issued (subject to escrow and set-off arrangements as set out in the Company's announcement of 19 November 2019) following the second anniversary of completion (the "Deferred Consideration Shares").
Application has been made for the Deferred Consideration Shares to be admitted to trading on the AIM market of the London Stock Exchange and it is expected that admission will take place and trading in the 764,692 Deferred Consideration Shares will commence from 8:00am on 6 January 2022 ("Admission").
Total Voting Rights
Following Admission, the total number of voting rights in Kape will be 349,849,532, which is the figure which should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, ordinary shares in the company ("Ordinary Shares") under the FCA's Disclosure and Transparency Rules.
The Company holds 9,662,654 Ordinary Shares in treasury, the voting rights to which have been waived. Therefore, following Admission, the Company's issued share capital will consist of 359,512,186 Ordinary Shares.
