Statement regarding change of AGM arrangements
K3 Capital Group plc announces that in the Notice of Annual General Meeting 2020 (the "AGM"), it was noted that the Company would update shareholders if any guidance changed or further restrictions were implemented which could impact the holding of the AGM as intended.
Following the Government's announcement of updated national measures to address the COVID-19 outbreak and the coming into force of the Corporate Insolvency and Governance Act 2020 (Coronavirus) (Extension of the Relevant Period) Regulations 2020, the Company's AGM scheduled for 11am on Friday 16 October will now be held as a closed meeting at the offices of TLT LLP, 3 Hardman Square, Spinningfields, Manchester, M3 3EB, and shareholders will not be allowed to attend the meeting. The time and date of the AGM remains the same. The Company will arrange the quorum from among the Board members.
Shareholders are strongly encouraged to vote at the AGM. In order to do so, shareholders should appoint the Chairman of the meeting as their proxy and otherwise complete their proxy voting instructions in accordance with the guidance in the Notice of AGM, which can be found on our website at: https://www.k3capitalgroupplc.com/investor-relations/documents-and-circulars/. To be valid, proxy voting instructions must be received by no later than 11am on Wednesday 14 October 2020.
The results of voting on the resolutions to be proposed at the AGM will be announced in the normal way through a regulatory information service and will be available on the Company's website as soon as practicable following the conclusion of the meeting.
