Rule 2.9 Announcement

In accordance with Rule 2.9 of The City Code on Takeovers and Mergers (the 'Code'), the Company confirms that, following an allotment of shares taking effect on the sanctioning of the proposed Scheme of Arrangement of the Company at the Scheme Court Hearing (which is expected to take place on 10 February 2023), its issued share capital will consist of 77,350,449 ordinary shares of 1 penny per share each, which carry voting rights of one vote per share. The Company does not hold any ordinary shares in treasury.

The International Securities Identification Number for the Company's ordinary shares is GB00BF1HPD20.
