ANNUAL GENERAL MEETING 20 JANUARY 2020
RESULT OF POLL AT ANNUAL GENERAL MEETING ("AGM")

Following the Annual General Meeting of the Company, which was held today, the Board is pleased to announce that all of the ordinary resolutions put to shareholders were voted on by poll and passed. In addition, the following special business was also voted on by poll and passed which:
i.) allows the Company to allot relevant securities in the Company (within the meaning of Section 551 of the Companies Act 2006) up to 3,039,167 Managed Growth Shares, 8,461,263 Managed Income Shares and 498,229 Managed Cash Shares;
ii) allows the Company to disapply pre-emption rights in respect of the allotment of new ordinary shares in the Company subject to certain specified conditions;
iii) allows the Company to make market purchases of its issued Managed Growth shares, Managed Income shares and Managed Cash shares up to a maximum number of which is equal to 14.99% of the issued share capital of the relevant share (excluding treasury shares);
iv) allows the Company to adopt its new articles of association;
v) enables the Company to make off-market purchases of its own securities; and
vi) approves the Company's existing dividend policy.
