Subscription Agreement
Jade Road Investments Limited ("Jade Road" or the "Company"), an Investing Company quoted on AIM is pleased to announce that it has entered into a subscription agreement with Verus Financial Services Limited ('Verus') for £1 million through the subscription for 100,000,000 new shares priced at 1p representing 72.19% of the Company's enlarged issued share capital following the issue of shares ("Subscription").
The Company intends to use proceeds to make investments in line with its investing strategy.
The Company looks forward to updating the market on further developments and target investment pipeline in due course.
Verus is an independent financial adviser authorised and regulated by the Financial Conduct Authority which is ultimately owned by Mr Christopher Doran. Verus is making the Subscription on behalf of its underlying clients, none of whom will beneficially own more than 30% of the Company's enlarged share capital upon completion of the Subscription.
Application will be made to AIM for the admission of the 100,000,000 subscription shares which is expected to become effective and dealings to commence on or around 2 May 2025.
Following Admission, the total voting rights in the Company will be 138,522,365 and shareholders will be able to use this figure as the denominator by which they are required to notify their interest in, or change in interest in the Company under the Disclosure Guidance and Transparency rules.
