ITV plc (the "Company")

As disclosed and described in the Remuneration report of the 2012 Report Accounts certain directors and executives of the Company have been granted share awards as set out below.

ITV plc Deferred Share Award Plan (the "DSA")

On 28 March 2013 awards were made over ordinary shares of the Company under the DSA, based on the achievement of performance targets under Annual Bonus arrangements in respect of the period from 1 January 2012 to 31 December 2012.

One third of the Annual Bonus is awarded as restricted shares which will not release until 28 March 2016. One third is awarded in cash with the balance as a mixture of cash or shares, the share element as a Voluntary Share Award. Voluntary Share Awards are matched on a 1:1 basis with a Matching award under the Performance Share Plan (see below).

ITV Performance Share Plan (the "PSP")

On 28 March 2013 awards were granted as nil-cost options over ordinary shares of the Company under the PSP in the form of a Matching Award. The options will become exercisable on the third anniversary of date of grant, 28 March 2016, subject to the achievement of performance conditions. Details of the awards are set out below.
