Total Voting Rights and Warrant Update

Further to the exercise of 4,005,818 warrants that were issued by Interserve Plc (the "Company") in connection with its refinancing announced on 27 April 2018, the Company announces that it has issued 4,005,818 ordinary shares representing approximately 2.68 per cent of the Company's enlarged ordinary share capital.

Accordingly, as at today's date, the Company's issued share capital with voting rights consists of 149,719,938 ordinary shares of 10 pence. The Company does not hold any shares in Treasury.

The figure of 149,719,938 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

To date, the Company has issued 4,005,818 ordinary shares as a result of the exercise of warrants, representing approximately 2.68 per cent of the Company's enlarged ordinary share capital. Of these, no warrants have been exercised on a cashless basis and 4,005,818 warrants have been exercised in cash.

Following the warrant exercise referred to in this announcement, 32,422,712 warrants, which, if exercised, would result in the issue of 32,422,712 ordinary shares, remain outstanding as at today's date.
