Results of General Meeting

Interserve Plc (the "Company") is pleased to announce the passing of all resolutions at today's general meeting.

At the general meeting of the Company (the "General Meeting"), duly convened and held today at the offices of Ashurst LLP, Broadwalk House, 5 Appold Street, London EC2A 2AG, all resolutions as set out in the notice of General Meeting dated 11 April 2018 were duly passed as ordinary resolutions on a poll.

The number of votes for and against each of the resolutions, and the number of votes withheld, are set out below:

* A vote withheld is not a vote in law and is not counted in the calculation of the proportion of the votes 'For' or 'Against' a resolution.

The total number of votes cast excludes votes withheld.

The issued share capital of the Company as at the close of business on 26 April 2018, being the latest practicable date prior to the date of the General Meeting, was 145,714,120 ordinary shares of 10 pence each.

In accordance with Listing Rule 9.6.2, copies of the resolutions passed at the General Meeting will be submitted to the National Storage Mechanism and will shortly be available for inspection at: www.morningstar.co.uk/nsm.

A copy of the above results will shortly be available in the Investor Centre section of the Company's website at www.interserve.com.
