Interserve PlcPursuant to the MacLellan Sharesave Scheme 2001 (the "Sharesave scheme"),71,564 MacLellan Group Plc ("MacLellan") shares of 5p each were issued to thoseMacLellan Sharesave participants who exercised options under the Sharesavescheme on 1st September 2006.Pursuant to the terms of the Scheme to implement its recommended acquisition ofMacLellan, Interserve Plc has compulsorily acquired 71,564 MacLellan shares. Inconsideration for these MacLellan shares, Interserve Plc has allotted 6,749Ordinary Shares of 10p and paid an aggregate cash consideration of ‚£57,251.20.Accordingly, an application has been made to The UK Listing Authority for the6,749 Interserve Plc shares (the "Shares") to be admitted to the Official Listand to the London Stock Exchange for these shares to be admitted to trading.The Shares rank equally with the existing issued shares of the Company.Following the allotment of the Shares, the issued share capital of InterservePlc is 123,724,262 Ordinary Shares of 10p each.END.INTERSERVE PLC
