Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons

Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the "Company") announces that, on 11 April 2012, the Company granted an Award under the Interserve Performance Share Plan 2006 (in the form of Nil-cost options), to each of the following Executive Directors/Persons Discharging Managerial Responsibilities ("PDMRs"), to acquire ordinary shares of 10p each in the Company ("Shares"), up to the maximum numbers shown below:-

The Awards will normally vest on or after the third anniversary of the date of grant subject to the fulfilment of certain performance conditions based on earnings per share and total shareholder return. No consideration is payable on the grant or the vesting of the Award and the awards must be exercised within 2 years of vesting.
