Notification of Transactions of Directors/

Persons Discharging Managerial Responsibility and Connected Persons

Pursuant to Disclosure and Transparency Rule 3.1.2, Interserve Plc (the "Company") announces that it was informed on 23 April 2014 by Capita Trustees Limited, in its capacity as Trustee of the Interserve Employee Benefit Trust, that the following ordinary shares of 10p each in the Company were transferred for no consideration to certain Executive Directors/Person Discharging Managerial Responsibilities ("PDMR") on 20 April 2014 pursuant to the Interserve Plc Performance Share Plan 2006. The number of shares vested was subject to the satisfaction of certain performance conditions over a three-year period based on earnings per share and total shareholder return.

Executive Directors

1. 99,746 shares were acquired by Steven Dance (0.07% of issued share capital) and were subsequently disposed at an average share price of 663.67 pence per share on the London Stock Exchange on 22-23 April 2014. Mr Dance's interest in ordinary shares of 10 pence each in the Company remains at 101,460 shares (0.07% of issued share capital).

2. 120,669 shares were acquired by Timothy Haywood (0.08% of issued share capital) and were subsequently disposed at an average share price of 663.67 pence per share on the London Stock Exchange on 22-23 April 2014. Mr Haywood's interest in the ordinary shares of 10 pence each in the Company remains at 53,527 shares (0.04% of issued share capital).

3. 99,746 shares were acquired by Bruce Melizan (0.07% of issued share capital) and were subsequently disposed at an average share price of 663.67 pence per share on the London Stock Exchange on 22-23 April 2014.

Mr Melizan's interest in ordinary shares of 10 pence each in the Company remains at 103,593 shares (0.07% of issued share capital).

4. 167,574 shares were acquired by Adrian Ringrose (0.12% of issued share capital). 30,000 shares were retained and the remaining shares were disposed at an average share price of 663.67 pence per share on the London Stock Exchange on 22-23 April 2014 of which a proportion contributed toward the tax/NI and sale costs.

Mr Ringrose now has an interest in 434,329 ordinary shares of 10 pence each in the Company (0.3% of issued share capital).

5. 89,528 shares were acquired by Douglas Sutherland (0.06% of issued share capital) and were subsequently disposed at an average share price of 663.67 pence per share on the London Stock Exchange on 22-23 April 2014. Mr Sutherland's interest in ordinary shares of 10 pence each in the Company remains at 104,109 shares (0.07% of issued share capital).

PDMR

1. 59,945 shares were acquired by Trevor Bradbury (0.04% of issued share capital) and were subsequently disposed at an average share price of 663.67 pence per share on the London Stock Exchange on 22-23 April 2014. Mr Bradbury's interest in ordinary shares of 10 pence each in the Company remains at 125,896 shares (0.09% of issued share capital).

2. 38,489 shares were acquired by George Franks (0.03% of issued share capital) and 35,000 shares were subsequently disposed at an average share price of 663.67 pence per share on the London Stock Exchange on 22-23 April 2014. The remaining shares have been retained. Mr Franks now has an interest in 9,161 ordinary shares of 10 pence each in the Company (0.006% of issued share capital).
