Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons

Pursuant to Disclosure and Transparency Rule 3.1.2, Interserve Plc (the "Company") announces that it was informed on 23 March 2010 by EES Trustees International Limited, in its capacity as Trustee of the Interserve Employee Benefit Trust, that the following ordinary shares of 10p each in the Company were transferred for no consideration to certain Executive Directors/Persons Discharging Managerial Responsibilities ("PDMRS") on 23 March 2010 pursuant to the Interserve Plc Performance Share Plan 2006. The number of shares vested was subject to the satisfaction of certain performance conditions over a three-year period based on earnings per share and total shareholder return.

Executive Directors

1. 17,714 shares acquired by Mr Steven Dance (0.014% of issued share capital). 5,414 shares were disposed of at £2.17 per share on the London Stock Exchange on 23 March 2010 to pay for tax/NI and sale costs. The remaining shares have been retained. Mr Dance now has an interest in 42,638 ordinary shares of 10p each in the Company (0.034% of issued share capital).

2. 27,064 shares acquired by Mr Timothy Jones (0.021% of issued share capital). 8,272 shares were disposed of at £2.17 per share on the London Stock Exchange on 23 March 2010 to pay for tax/NI and sale costs. The remaining shares have been retained. Mr Jones now has an interest in 106,151 ordinary shares of 10p each in the Company (0.084% of issued share capital).

3. 17,714 shares acquired by Mr Bruce Melizan (0.014% of issued share capital). 5,414 shares were disposed of at £2.17 per share on the London Stock Exchange on 23 March 2010 to pay for tax/NI and sale costs. The remaining shares have been retained. Mr Melizan now has an interest in 42,823 ordinary shares of 10p each in the Company (0.034% of issued share capital).

4. 34,445 shares acquired by Mr Adrian Ringrose (0.027% of issued share capital). Mr Ringrose now has an interest in 178,682 ordinary shares of 10p each in the Company (0.142% of issued share capital).

PDMRs

1. 13,286 shares acquired by Mr Trevor Bradbury (0.011% of issued share capital). 4,061 shares were disposed of at £2.17 per share on the London Stock Exchange on 23 March 2010 to pay for tax/NI and sale costs. The remaining shares have been retained. Mr Bradbury now has an interest in 40,173 ordinary shares of 10p each in the Company (0.032% of issued share capital).

2. 10,333 shares acquired by Mr David Paterson (0.008% of issued share capital). 3,158 shares were disposed of at £2.17 per share on the London Stock Exchange on 23 March 2010 to pay for tax/NI and sale costs. The remaining shares have been retained. Mr Paterson now has an interest in 16,883 ordinary shares of 10p each in the Company (0.013% of issued share capital).

3. 15,746 shares acquired by Mr Douglas Sutherland (0.013% of issued share capital). 4,813 shares were disposed of at £2.17 per share on the London Stock Exchange on 23 March 2010 to pay for tax/NI and sale costs. The remaining shares have been retained. Mr Sutherland now has an interest in 11,275 ordinary shares of 10p each in the Company (0.009% of issued share capital).
