Impax Asset Management Group plc (the 'Company')

EBT Share Purchase

The Company has been notified by Sanne Trust Company Limited, the trustees of the Impax Asset Management Group plc Employee Benefit Trust 2012 (the "EBT"), that on 14 December 2012 the EBT purchased 500,000 ordinary shares in the Company at a price of 33.25 pence per share.

Following this purchase, the EBT holds 17,640,667 ordinary shares, representing 13.81% of the Company's current voting rights.
