CAPITAL REDUCTION EFFECTIVE

Impellam Group plc (AIM: IPEL) previously announced on 27 June 2023 that its shareholders had passed each of the resolutions at the annual general meeting held on that day, which included, among other things: (i) the reduction of the share capital of the Company by the cancellation of 94,822 ordinary shares of GBP 0.01 each in the capital of the Company (the Ordinary Shares); and (ii) the cancellation of GBP 30,121,328 of the share premium account of the Company (the Capital Reduction).

Impellam is now pleased to announce that the High Court of Justice in England and Wales has made an order confirming the Capital Reduction (the Court Order) and that the Court Order has now been registered by the Registrar of Companies in England and Wales. Accordingly, the Capital Reduction has now become effective in accordance with the terms of the Court Order.

The Company announced on 12 April 2022 that it had entered into an offer period. The Ordinary Shares are relevant securities of Impellam Group plc for the purposes of Rule 8 of The City Code on Takeovers and Mergers (the Code). In accordance with Rule 2.9 of the Code, Impellam therefore confirms that it now has in issue 44,848,572 ordinary shares with voting rights. The Company has no ordinary shares held in Treasury. The International Securities Identification Number for Impellam ordinary shares is GB00B8HWGJ55.
