Publication and Filing of Notice of Extraordinary General Meeting in compliance with section 40 of the Companies (Amendment) Act, 1983 ("Section 40 EGM")
Independent News & Media PLC today confirms that it has, in compliance with its obligations under section 40 of the Companies (Amendment) Act, 1983 of Ireland ("section 40"), issued to shareholders a notice ("Notice") convening an extraordinary general meeting of the Company for the purposes of considering whether any, and if so, what steps should be taken to deal with the situation arising under section 40.
It is intended that the extraordinary general meeting to be held in connection with the disposal of INM SA and the restructuring, as announced on 26 April 2013, will be held on the same date, at the same venue, and immediately after the conclusion of the Section 40 EGM.
A copy of the Notice been submitted to the Irish Stock Exchange and the UK's National Storage Mechanism, and will shortly be available for inspection as follows:
