Imagination Technologies Group plc (The "Company")

Block Listing Application

Additional Listing

A listing application has been made, in aggregate, for 15,951,383 ordinary shares of 10p each in the Company to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange. When issued these shares will be fully paid and will rank pari passu in all respects with the existing issued ordinary shares of the Company.

The total application comprises a block listing application for 1,846,740 shares pursuant to the Imagination Technologies Group plc Long Term Incentive Plan and a block listing application for 14,104,643 shares pursuant to the Imagination Technologies Group plc Employee Share Plan.

It is expected that admission of the shares will take place on 2 October 2017.
