The following individual, being a Director / person discharging managerial responsibilities ("PDMR") of 3i Group plc (the "Company"), was granted long-term incentive awards over ordinary shares of 73 19/22p each ("Shares") in the Company by the Trustee of The 3i Group plc Employee Trust on 30 November 2011 as detailed against his name below:

The awards are subject to service conditions. The consideration for the awards was nil. The place of the transaction was London.

The Director/PDMR above notified the Company of the change in his interests on 2 December 2011.
