Director/PDMR Shareholding amendment

The following amendment has been made to the 'Director/PDMR Shareholding' announcement released on 1 June 2026 at 16.28 under RNS No 5289G.

Details of the Amendment: a change to the number of shares comprised in the Special Share Award granted to Bernardo Sottomayor under the 3i Group Special Share Award Plan.

All other details remain unchanged.

In addition, pursuant to the rules of the 3i Group Deferred Bonus Plan 2020, on 1 June 2026, the following PDMRs of the Company were granted cash settled awards (under which a bonus is paid by reference to a number of notional Shares in the Company) as detailed against their names below:

Performance Share Awards

Pursuant to the rules of the 3i Group Special Share Award Plan, on 1 June 2026 the following PDMR of the Company was granted awards over Shares (ISIN: GB00B1YW4409) in the Company as detailed against their name below:

The Performance Share Awards are subject to performance conditions.

The consideration for the grant of each of the awards detailed above was nil. The place of the transactions detailed above was London.

Each of the Directors/PDMRs above notified the Company of the changes in their interests on 1 June 2026.
