UK Market Abuse Regulation Article 19

On 3 June 2025, 3i Group plc (the "Company") was notified of the following.

On 2 June 2025 share awards under the 3i Group Deferred Bonus Plan 2020 (the "Plan") held by the Directors/Persons Discharging Managerial Responsibilities ("PDMR"s) named in the table below vested. On that date the ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") shown in the column headed "Shares acquired" ceased to be subject to restrictions under the Plan. The Shares (if any) shown in the column headed "Shares sold" were sold on 3 June 2025 at a price of £40.5749 per share.

On 2 June 2025 cash settled awards vesting under the Plan (under which a bonus is paid by reference to a number of notional Shares) held by the PDMRs named in the table below became payable. On that date a bonus became payable in respect of a number of notional Shares shown in the column headed "Notional Shares vesting" based on a value equivalent to the price per share shown in the column headed "Price per share".

On 2 June 2025 the PDMR named in the table below acquired for no consideration Shares on the release of share awards under the 3i Special Share Award Plan. On that date the Shares shown in the column headed "Shares acquired" vested. The Shares (if any) shown in the column headed "Shares sold" were sold on 3 June 2025 at a price of £40.5749 per share.

The place of the share sales referred to above was the London Stock Exchange and the other transactions were outside a trading venue.
