Grant of Options
Intercede, the leading specialist in digital identity, credential management and secure mobility, announces that on 19 October 2018 it granted options ("Options") over ordinary shares of 1p in the Company ("Ordinary Shares") under the existing Intercede Group plc Long Term Incentive Plan to Klaas van der Leest, Chief Executive and Andrew Walker, Finance Director.
The Options have been granted at a price of 27.0 pence per Ordinary Share, being the closing mid-market price of an Ordinary Share on 18 October 2018. They will be exercisable from 19 October 2021 to 18 October 2028, dependent on the price of an Ordinary Share reaching the following prices for a period of 30 consecutive trading days in the period up to and ending 19 October 2021, being three years from the date of the grant (the "Performance Criteria"):
- 69 pence per Ordinary Share ("Tranche 1");
- 119 pence per Ordinary Share ("Tranche 2"); and
- 169 pence per Ordinary Share ("Tranche 3").
Dependent on the Performance Criteria above being achieved, the number of Options that will vest and become exercisable is as follows:
