ICAP plc ("the Company")

Treasury shares

On 1 April 2016, the Company transferred a total of 6,580 shares as follows:

· 4,705 ordinary shares at £2.72 per share to participants in its 2013 Sharesave Scheme;

· 1,654 ordinary shares at £3.02 per share to a participant in its 2014 Sharesave Scheme; and

· 221 ordinary shares at £4.52 per share to a participant in its 2015 Sharesave Scheme.

These shares were previously held as treasury shares.

Following the above transactions, the Company holds 12,979,966 ordinary shares in treasury, and has 651,557,040 ordinary shares in issue (excluding treasury shares).
