ICAP plc (the Company)

Grant of share awards under the ICAP plc 2015 Deferred Share Bonus Plan (DSBP) and 2015 Performance Share Plan (PSP).

On 27 June 2016, Steve Gibson, a person discharging managerial responsibilities (PDMR) was awarded the following award shares under the DSBP and the PSP:

This award will normally vest on 24 May 2019 subject to the participant continuing to hold an office or employment within the ICAP Group.

This award will normally vest on 24 May 2019 subject to the participant continuing to hold an office or employment within the ICAP Group and the achievement of the following performance conditions measured over a three year period to 31 March 2019:

1. half the 2016 PSP award will be subject to a Total Shareholder Return performance condition; and

2. the remaining 50% of the 2016 award will be subject to a point-to-point EPS performance condition.
