("Hummingbird Resources" or the "Company") (AIM: HUM)
US$3m Private Placement
Hummingbird Resources, a gold exploration and development company with assets in Mali and Liberia, is pleased to announce the successful placement of 4,100,000 new Ordinary Shares at a price of 45 pence per share, to raise £1,845,000 (before expenses). The planned use of proceeds is for general corporate purposes.
The Company understands that following the placing, Exploration Capital Partners 2000 Limited Partnership will be interested in 4,100,000 Ordinary Shares, representing approximately 4.8% of the issued share capital in the Company. Exploration Capital is a private investment fund managed by Resource Capital Investment Corp., part of the Sprott Group of Companies (TSX: SII).
These shares are expected to be admitted to trading on AIM ("Admission") on 8 October 2014. The new Ordinary Shares will rank pari passu with the existing Ordinary Shares.
In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, the Company hereby announces that, following the Admission, it will have 84,843,267 Ordinary Shares of £0.01 each in issue, each share carrying the right to one vote. The Company does not hold any ordinary shares in treasury.
The above figure of 84,843,267 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
