TOTAL VOTING RIGHTS

As at 31 August 2015, the issued share capital of the Company (excluding 41,444,389 Sterling Shares and 3,056,861 US Dollar Shares held in treasury) was as follows:

Sterling Shares: 387,851,631

US Dollar Shares: 28,307,145.

All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 416,158,776 (excluding 41,444,389 Sterling Shares and 3,056,861 US Dollar Shares held in treasury) and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
