Hargreaves Services plc (AIM: HSP), a diversified group delivering services to the industrial and property sectors, announces that, on 21 December 2023, Gordon Banham (CEO and PDMR) exercised options over 83,381 ordinary shares of 10 pence each in the capital of the Company ("Ordinary Shares"). The options were granted under the Hargreaves Services plc Executive Share Option Schemes 2019 and 2020 and all of the Ordinary Shares issued pursuant to the exercise were sold at a price of 10 pence per Ordinary Share.
The option exercise was satisfied by a transfer of shares from treasury. Following the transfer, 335,401 Ordinary Shares remain in treasury and the total number of voting rights in the Company are 32,803,355. This latter figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
Following the above exercise, Mr Banham sold his entire total holding of 113,085 Ordinary Shares in the Company to GB Holdings (2021) Limited, a company wholly owned by him, at a price of 10p per Ordinary Share realising total proceeds of £11,309.
Following the above transactions, the total shareholding by GB Holdings (2021) Limited is 2,759,910 Ordinary Shares, representing 8.41% of the total issued share capital.
