25 July 2012 Hogg Robinson Group plc (`HRG', or `the Company') BOARD COMPOSITION AND NOTIFICATION OF DIRECTOR'S INTERESTS
In accordance with the previous announcement made by the Company on 23 May 2012, Julian Steadman retired from the Board at the conclusion of today's Annual General Meeting, and is replaced as Group Finance Director by Philip Harrison, who joined the Company on 11 June 2012.
On appointment, awards were made to Philip Harrison under the Company's long term incentive plan and the following director's interest in the ordinary share capital of the Company is accordingly notified:
1) Philip Harrison is now interested in 286,000 ordinary shares of 1p each in the capital of the Company awarded under the Performance Share Plan (`PSP'), and an option to acquire 357,500 ordinary shares of 1p each in the capital of the Company under the Company Share Option Plan ('CSOP').
2) The vesting of the above awards are subject to the terms of the relevant plans and performance criteria which measure total shareholder return and cumulative underlying earnings per share over the vesting period. The exercise price of the options under the CSOP awards mentioned above was determined by the Remuneration Committee as being 60p, being the mid-market closing price of the Company's ordinary shares on the day immediately prior to the day on which the options were granted.
There are no further details to be disclosed under the Continuing Obligations provisions of section 9.6.13 of the Listing Rules.
