Listing Rule 9.2.6E - Disclosure of Rights Attached to Equity Shares
Huntsworth plc, the healthcare and communications group, announces that in anticipation of the sanction of the Scheme on 30 April 2020 by the Court in connection with the the recommended cash offer made by Bidco for Huntsworth under Rule 2.7 of the Code on 3 March 2020, the Company has today issued 12,198,835 new ordinary shares of 1p each in the capital of the Company (New Shares) in order to be able to satisfy various employee share awards made under The Huntsworth Long Term Incentive Plan 2016, The Huntsworth 2016 Deferred Share Bonus Plan, The Huntsworth Executive Share Option Scheme 2006 and The Huntsworth Performance Share Plan. The New Shares will rank pari passu with the existing ordinary shares of 1p each.
In accordance with Rule 2.9 of the City Code on Takeovers and Mergers, the Company confirms that, following today's issue of 12,198,835 Huntsworth Shares, it has 383,917,170 ordinary shares of 1 penny each in issue.
The Company further confirms that the total number of voting rights in the Company is 383,917,170. The figure of 383,917,170 may be used by shareholders as the denominator for the calculations by which to determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
The International Securities Identification Number for the Huntsworth Shares is GB00B0CRWK29.
Listing Rule 9.2.6E - Disclosure of Rights Attached to Equity Shares
In compliance with Listing Rule 9.2.6E, the Company has forwarded to the FCA for publication a copy of its current Articles of Association, which is the document that sets out the terms and conditions on which its listed equity shares were issued. A copy of the Articles of Association have been submitted to the National Storage Mechanism and will shortly be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism
Unless otherwise defined, all capitalised terms used but not defined in this announcement shall have the meaning given to them in the the circular relating to the Acquisition posted by Huntsworth to Huntsworth Shareholders on 23 March 2020.
