HMV Group PLC22 March 2006 HMV Group plc (the 'Company') Notification of Transactions of Director On 21 March 2006 Mr Brian McLaughlin, a non-executive director, exercisedoptions (which had been granted to him whilst an employee of the Company) over358,905 Ordinary shares with an exercise price of 18.73p per share and 819,161Ordinary shares with an exercise price of 167p per share. These 1,178,066Ordinary shares were subsequently sold on the same day at a price of 179.94p pershare. On the same date the Company was notified by RBC (Trustees) Limited, thetrustees of the HMV Group Employee Trust (the 'Trust') that they had released75,070 Ordinary shares from the Trust to Mr McLaughlin under the terms of theHMV Group Incentive Plan for Senior Executives. Mr McLaughlin sold these shareson the same day at 179.94p per share. Following the release of Mr McLaughlin's shares from the Trust the Trustees hold1,518,561 Ordinary shares in the Trust, which represents 0.38% of the currentissued share capital of the Company following these transactions. Mr AlanGiles, Mr Neil Bright and Mr Steve Knott, being directors of the Company, aredeemed to have a beneficial interest in the shares held by the Trustees.
