HALMA p.l.c.TREASURY SHARE TRANSACTION

Halma p.l.c. announces that, as part of a routine purchase totalling 250,000 ordinary shares, it purchased 102,931 shares on 7 February 2012 through J.P. Morgan Cazenove at an average price of 370.8217p per share. It is anticipated that the purchase of the balance of the 250,000 shares will be completed in two further tranches over the next two days.
The purchased shares will not be subject to cancellation and will all be held as treasury shares in order to satisfy awards under the Halma p.l.c. Performance Share Plan 2005 ('PSP').
Following the above transaction Halma p.l.c. holds 1,257,200 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) is 377,169,297.
