Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it was notified on 25 May 2015 that Mr Derek Muir, a person discharging managerial responsibilities of Hill & Smith:

- purchased 6,228 ordinary shares in the Company at 718.00 pence per share (3,042 to be held in his Individual Savings Account ('ISA') and 3,186 to be held in the ISA of Mrs Diane Muir).

- sold 6,228 ordinary shares in the Company at 712.00 pence per share.

These transactions were effected on the London Stock Exchange.

This transaction does not change Mr Muir's overall shareholding and is therefore beneficially interested in 210,752 ordinary shares in the Company and holds LTIPs/Options over 266,038 Ordinary Shares in the Company.
