Acquisition of Premier Galvanizing

Hill & Smith Holdings PLC ('Hill & Smith' or 'the Group'), the international group with leading positions in the supply of infrastructure products and galvanizing services to global markets, today announces it has completed the acquisition of Premier Galvanizing Limited ("Premier") for a total cash consideration of £15.5m, on a debt and cash free basis. The consideration will be funded from the Group's existing bank facilities.

Premier is a privately owned galvanizer with two plants located in Hull and Corby, areas not currently covered by our existing plant network. In the year ended 31 March 2015 the business reported revenue and profit before taxation of £8.3m and £2.3m respectively, and had gross assets of £6.2m. The acquisition is expected to be earnings enhancing to the Group in the first full financial year following the acquisition.
