Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has today been notified that Mr Derek Muir, a person discharging managerial responsibilities of Hill & Smith:

- sold 11,343 ordinary shares in the Company at 560 pence per share.

- purchased 4,198 ordinary shares in the Company at 563 pence per share (2,098 to be held in his Individual Savings Account ('ISA') and 2,100 to be held in the ISA of Mrs Diane Muir).

These transactions were effected on the London Stock Exchange.

Following the above, Mr Muir is beneficially interested in 143,742 ordinary shares in the Company and holds LTIPs/Options over 228,705 Ordinary Shares in the Company.
