Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules.

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that on 12 March 2013, the following, being persons discharging managerial responsibilities, exercised options to subscribe for Ordinary Shares in the Company ("Ordinary Shares") at 349.92 pence per share.

J C Humphreys - options granted 13 April 2007over 24,000 Ordinary Shares

J P Whitehouse - options granted 13 April 2007over 25,000 Ordinary Shares

Following the exercise of these options, J C Humphreys sold 24,000 Ordinary Shares and J P Whitehouse sold 25,000 Ordinary Shares each at a price of 444.50 pence per share, such transactions being effected on the London Stock Exchange on 12 March 2013.

J C Humphreys continues to have a beneficial interest in 18,902 Ordinary Shares of the Company and options over 15,000 Ordinary Shares and J P Whitehouse a beneficial interest in 6,903 Ordinary Shares of the Company and options over 15,000 Ordinary Shares.
