HILL & SMITH HOLDINGS PLC 

Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified on 24 October 2008 that Mr D L Grove, being a person discharging managerial responsibilities of Hill & Smith, has purchased 15,000 ordinary shares in the Company at 199 pence per share. This transaction was effected on 24 October 2008 on the London Stock Exchange.

Hill & Smith has also been informed today that Grove Industries Limited, a company connected with Mr Grove, has purchased 75,000 ordinary shares in the Company at 195 pence per share. This transaction was effected on 27 October 2008 on the London Stock Exchange.

Following these purchases, Mr Grove is beneficially interested in 819,969 ordinary shares in the Company and has options over 12,360 ordinary shares.
