Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified on 18 August 2008 that Mr C J Snowdon, being a person discharging managerial responsibilities of Hill & Smith, has purchased 3,424 ordinary shares in the Company at 318.7 pence per share and a further 1,576 ordinary shares at 317.2 pence per share. These transactions were effected on 18 August 2008.

Following this purchase, Mr Snowdon is beneficially interested in 15,000 ordinary shares in the Company.
