1.1. Date of board resolution : 22019/04/30

2.2. Issue period.: 股票期權激勵計畫有效期為自股票期權首次授權之日起至激勵對象獲授的所有股票期權行權或註銷完畢之日止,最長不超過84個月。The stock option incentive plan is valid for amaximum of84monthsfrom the first grantdate of the stock option to the datewhen all stock options granted areexercising or cancelled.

3.認股權人資格條件:3. Qualifications and conditions for eligible employee for stock option

The incentive object of this option plan are 本激勵計畫的激勵對象為公司(含子公司)董事、高級管理人員、核心員工。Directors ofthecompany (including subsidiaries), senior management team and other key employees.

T為持續強化公司在工業方面的領先技術與優勢,對於現有員工,原則上以下列核心員工為主要激勵對象:To continuously strengthen the company's leading technology and advantages in the industry, in principles, the following core employees are the main incentive objects:

11. 在本公司或本公司子公司任職;且Serving in the company or a subsidiary of the company; and

22. IIIn key positions, have development potential, and perform well or newpersonnel that crucial for company's industrial Internet transformation.

對符合激勵計畫的激勵對象範圍的人員,由薪酬與考核委員會擬定名單,並經公司監事會核實確定。For those within thescope ofthe incentiveobjectof theincentive plan, the remuneration and appraisal committee will prepare a name list and be approval by the company's supervisory board.

4.員工認股權憑證之發行單位總數:4. Number of total issued units of the employee stock warrants: 25,947,021 units

5.每單位認股權憑證得認購之股數:1股普通股5. Number of shares each unit represents: 1ordinary share

6.因認股權行使而須發行之新股總數或依證券交易法第二十八條之二6. total number of new shares to be issued in connection with exercise of stock options or the number of shares for shares buy-back as required per Article 28-2 of the Act:25,947,021shares

7.認股價格:人民幣12.057. exercise price:12.05yuan

8.認股權利期間:8. Exercise period:首次授權日為2019/04/30The first grant date is2019/04/30.

第一個行權期自首次授權日起12個月後的首個交易日起至首次授權日起24個月內的最後一個交易日當日止,行權比例為20%The first exercise period beginson the first trading day after12months from the first grant dateto the last trading day within24monthsfrom the first grantdate, and the exercise ratio is20%;

第二個行權期自首次授權日起24個月後的首個交易日起至首次授權日起36個月內的最後一個交易日當日止,行權比例為20%The second exercise period beginson the first trading day after24months from the first authorization dateto the last trading day within36monthsfrom the first grantdate, and the exercise ratio is20%;

9.認購股份之種類:9. Class of shares with which to exercise stock option: Ordinary本公司普通股股票Orshares of the company

10.員工離職或發生繼承時之處理方式:10. Measures to be taken in the event of inheritance/employee resignation:

1(1) 激勵對象離職Incentiveobjects resignation

a.a.激勵對象合同到期且不再續約或主動辭職的,其已行權股票不作處理,已獲授但尚未行權的股票期權不得行權,由公司進行註銷。If the contract of the incentive object expires and no longer renews or incentiveresigns, the exercised shares will not be redeemed, and the stock options that have been granted but not yet exercised shall not be exercised and shall be cancelled by the company.

b.b.激勵對象若因公司裁員等原因被動離職的,其已行權股票不作處理,已獲授但尚未行權的股票期權不得行權,由公司進行註銷。If theincentiveobjectis dismissed due to company layoffs, etc., the exercised shares will not be redeemed, and the stock options that have been granted but not yet exercised shall not be exercised and shall be cancelled by the company.

(2) Incentive object resignation due to loss of working 2(2)激勵對象喪失勞動能力而離職Loscapacity

a.a.If i激勵對象因工受傷喪失勞動能力而離職的,由董事會薪酬與考核委員會決定其已獲授的權益將完全按照情況發生前激勵計畫規定的程序進行,其個人績效考核結果不再納入行權條件;或由公司註銷其已獲授但尚未行權的股票期權。ncentive resigns due to loss of capacity caused by injury at work, the Board of Remuneration and Appraisal Committee should decide whether the stock options granted before the incidentcould be exercised as the incentive plan stated regardless of their personal performance evaluation results; or the company should cancel their stock options that have been granted but not yet exercised.

b.b.激勵對象非因工受傷喪失勞動能力而離職的,其已行權股票不作處理,已獲授但尚未行權的股票期權不得行權,由公司進行註銷。If the incentiveobjectdoes not resign due to the loss of labor capacity caused bywork injury, the exercised stocks will not be redeemed, and the stock options that have been granted but not yet exercised shall not be exercised, and canceled by the company.

3(3) Incentive激勵對象死亡Ince object death

a.a.If incentive object perish in line of duty激勵對象若因執行職務而身故的,由董事會薪酬與考核委員會決定其已獲授的權益將由其指定的財產繼承人或法定繼承人代為享有,並按照身故前激勵計畫規定的程序進行,其個人績效考核結果不再納入行權條件;或由公司註銷其已獲授但尚未行權的股票期權。perissjoenfoaieoajiefdolfijasoidjfaisfjonjnijieolnfoakdfaolejaojfaisdjf;olsldidfjoikjjjj, the Remuneration and Appraisal Committee should decide whether the equity granted is inherited by the designated heir or legal heir, and can exercised as the incentive plan stated before the death of incentive object regardless of their personal performance evaluation results; or the company should cancel their stock options that have been granted but not yet exercised.

b.b.激勵對象若因其他原因而身故的,其已行權股票不作處理,已獲授但尚未行權的股票期權不得行權,由公司進行註銷。If theincentiveobjectdies for other reasons, the exercised stocks will not be redeemed, and the stock options that have been granted but not yet exercised shall not be exercised and shall be cancelled by the company.

11.其他認股條件:11. Other terms and conditions for exercising stock option:

measures to be taken when employees fail to meet the vesting conditions or in the event of inheritance

When employees fail to meet the vesting conditions during the contract period, stock options shall not be exercised or deferred to the next period, and the company shallcancel thecorresponding stock options of the incentive object in accordance tothe principle stipulated in the incentive plan.股票期權各行權期結束後,激勵對象未行權的當期股票期權應當終止行權,公司將予以註銷。After the end of each exercise period of the stock option,the current stock optionthat the incentiveobject hasnot exercised shall be terminated and canceledby the company.

12.履約方式:12. Performance of contract:Company should implement the Registration and Settlement of option with the China Securities Depository and Clearing Co., Ltd. after each exercise period.

13.認股價格之調整:13. Adjustment of exercise price:

若在激勵計畫公告當日至激勵對象完成股票期權行權期間,公司有資本公積轉增股本、派送股票紅利、股份拆細、縮股、派息、配股等事項,應對股票期權行權價格進行相應的調整,但任何調整不得導致行權價格低於股票面值。If the company capitalize capital reserve, distribute stock dividends, subdivide share, shrink, distribute interests and allot share during the announcement date and exercise period,exercise price should be adjusted but any adjustments should not result in a strike price that is lower than the stock's face value.調整方法如下:The adjustment method is as follows:

(1) 1(1)資本公積金轉增股本、派送股票紅利、股票拆細:PP0÷(1n)Capitalization of capital reserve into share capital, distribution of stock dividends, stock split:P=P0÷ (1+n)

where其中:P0為調整前的行權價格;n為每股的資本公積轉增股本、派送股票紅利、股票拆細的比率;P為調整後的行權價格。which:P0is the exercise price before adjustment;nis the ratio of capital reserve to share capital, share dividends, stock splits;Pis the adjusted exercise price.

2(2)縮股:PP0÷nShrinking:P=P0÷n

3(3) 派息:PP0-VDividend:P=P0-V

4(4)配股:PP0×(P0P2×n)/[P1×(1n)Allotment:P=P0×(P0+P2×n)/[P1×(1+n)]

5(5) 增發:公司在增發新股的情況下,股票期權價格不做調整。Additional issuance: In the case of new shares issued by the company, the stock option price will not be adjusted.

14.行使認股權之程序:14. Procedure for exercising stock option:

激勵對象在可行權日內向董事會提交「股票期權行權申請書」,經董事會確認並交付相應行權款項後,公司向上海證券交易所提出行權申請,並按申請行權數量向激勵對象定向發行股票。The incentive object should submits the stock option exercise request application to the Board of Directors within the vesting period. After the board of directors confirms and delivers the corresponding exercise payment, the company submits an exercise application to the Shanghai Stock Exchange and issue the stock to incentive object according to the number of applications.經上海證券交易所確認後,由中國證券登記結算有限責任公司辦理登記結算事宜。After confirmation by the Shanghai Stock Exchange, China Securities Depository and Clearing Co., Ltdconducts the registration and settlement.

15.認股後之權利義務:15. Rights and obligations after exercising stock option:

員工行權後取得之普通股其權利義務與本公司普通股股票相同。The rights and obligationsofordinary sharesexercised by are thesame as those of ordinary shares of the company.
