After satisfactions of each conditions precedent of the Share Subscription Agreement, an aggregate subscription amount of 14,457,837,909 Japanese Yen will be paid for subscription of 20% of capital stock of SoftBank Robotics Holdings Corp.

The manner and price of this transaction were determined based on and pursuant to the Share Subscription Agreement. Decision on this transaction was made by the Board of Directors.
