Notification of Transactions of Directors/Persons Discharging Managerial Responsibility

Halfords Group plc (the "Company") announces that, Jonny Mason, Chief Financial Officer, purchased 50,000 of the Company's ordinary shares of 1p each as follows:

· 25 January 2016 - 25,000 ordinary shares at £3.6720 per share

· 27 January 2016 - 25,000 ordinary shares at £3.7499 per share

Following this transaction the number of shares held by Jonny Mason and connected parties is 75,000 ordinary shares in the Company, which represents 0.037% of voting rights.

The Halfords Sharesave Scheme 2014

On 30 December 2015, Jonny Mason was granted options over 6.042 ordinary shares of 1p each under the Halfords Sharesave Scheme 2014 at a price of £2.979. This option will be exercisable between 1 February 2019 and 1 August 2019.

Following this transaction the number of shares over which options are held by Jonny Mason is 6.042 ordinary shares in the Company, which represents 0.003% of voting rights.

This notification is provided in accordance with DTR 3.1.4R(1).
