NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

We wish to notify the following, in accordance with Rules 3.1.4(1)(a) and 3.1.4(1)(b) of the Disclosure Rules.

The Company has granted awards under the Halfords 2005 Performance Share Plan, ("PSP"), these awards are in the form of a contingent share award, where a participant will receive nil cost ordinary shares in the Company subject to performance conditions being met in respect of Earnings per Share and Total Shareholder Return criteria over a three year performance period, so that some or all of the award shares become vested award shares. The awards are also subject to continuing employment. The calculation of the awards was made at a share price of 296.17p
