Board Changes

The Company advises that Mr Greg McMillan, a director of the Company and the nominated board representative for Nyrstar International B.V., a wholly owned subsidiary of Nyrstar NV ("Nyrstar"), will resign from the board of Herencia effective 5 March 2013 and will be replaced, also effective 5 March 2013, by Mr Chris James, Group Manager, Corporate Development for Nyrstar .

Mr James, aged 35, has a Bachelor of Science and Bachelor of Engineering (Mechanical) from Monash University and an Executive MBA from London Business School. Mr James has extensive corporate development experience having been involved in the US$409 million acquisition of Farallon Mining, the US$663 million acquisition of Breakwater Resources and is responsible for managing Nyrstar's corporate development team.

Apart from his appointment to the board of Ironbark Zinc Limited in February 2013, Mr James is not, and in the last 5 years has not been, a director or partner of any other company or partnership.

Chris James does not hold any ordinary shares in the Company, but Nyrstar on whose behalf he has been appointed holds 167,762,755 Ordinary Shares in the Company representing 10.03% of the total number of issued Ordinary Shares in the Company.  

Nyrstar is permitted to appoint a representative to the board of Herencia Resources plc, so long as they hold more than 10% of the issued share capital of the Company. The terms of this arrangement are set out in a subscription agreement, made between the Company and Nyrstar, dated 16 April 2010.
