and Notice of Annual General Meeting
Headlam Group plc (LSE: HEAD), Europe's leading floorcoverings distributor, announces that, further to its final results announcement on 5 March 2020, it has today published its Annual Report and Accounts for the year ended 31 December 2019 ('Annual Report').
The Annual Report and a separate Notice of Annual General Meeting ('Notice') have been posted to those shareholders who have requested a printed copy and are available on the Company's website www.headlam.com. In accordance with Listing Rule 9.6.1, a copy of each document has been submitted to the National Storage Mechanism and will shortly be available to view at www.morningstar.co.uk/uk/NSM.
The Company will hold its Annual General Meeting ('AGM') at 10.00 am on Friday, 22 May 2020 at its head office at Gorsey Lane, Coleshill, Birmingham B46 1JU. In-line with the UK Government's current guidance and measures to help reduce the spread of COVID-19, shareholders are encouraged to vote by proxy and not attend the AGM in person. Should the UK Government's Stay at Home Measures prohibiting public gatherings of more than two people remain in force at the date of the AGM, shareholders will not be allowed to attend the AGM in person and anyone seeking to attend will be refused entry.
Shareholders should continue to monitor the Company's website and regulatory information service announcements for any updates in relation to the AGM due to the impact of COVID-19 and the UK Government's guidance and measures.
The Company has made arrangements to allow shareholders to submit questions by email in advance of the AGM, and written answers in respect of frequently asked questions will be posted on the Company's website after the conclusion of the AGM. Further details are given in the Notice.
Alteration to detail in the Annual Report following a COVID-19 Trading Update
Since the approval and printing of the Company's Annual Report, the Company released a
COVID-19 Trading Update ('Announcement') on 25 March 2020. This subsequent Announcement alters the detail contained in the Annual Report in relation to the 2019 final ordinary dividend and the total ordinary dividend in respect of 2019. Further to the Announcement, the total ordinary dividend in respect of 2019 will now be 7.55 pence per share, with no 2019 final ordinary dividend proposed.
