Hardy Oil & Gas plc11 January 2008 For immediate release 11 January 2008 Hardy Oil and Gas plc ("Hardy" or "Company", together with its subsidiaries, the "Group") Notice of Extraordinary General Meeting Hardy Oil and Gas plc (AIM: HDY), the exploration and production company withassets in India and Nigeria, announces that it is posting today a circular toshareholders ("Circular) convening an Extraordinary General Meeting ofshareholders ("EGM") to be held at 10.00 a.m. on 4 February 2008 to approve theadoption of new Memorandum and Articles of Association. As announced earlier today, it is the Board's intention for Hardy to move thelisting of its ordinary shares from AIM to the Official List of the UK ListingAuthority. The Company is currently undertaking steps to facilitate thisprocess. The Group has grown significantly since admission to AIM in 2005 and the Boardnow considers, having regard to the Company's market capitalisation, reservesand resource base, operations and production profile, the Official List to be amore appropriate platform than AIM for the continued growth of the Group. As part of this process, the Directors believe that it is good corporategovernance and in the Company's interests to adopt new Memorandum and Articlesof Association. The new Memorandum and Articles of Association to be tabled atthe EGM are similar to the Company's current Memorandum and Articles ofAssociation but have been updated, inter alia, to reflect recent statutoryamendments as well as changes in current market practice. A summary of theprincipal changes is set out in the Circular. The Circular contains a notice convening an EGM of shareholders at theregistered office of the Company, 15-19 Athol Street, Douglas, Isle of Man IM11LB on 4 February 2008 at 10.00 a.m.. Copies of the proposed new Memorandum and Articles of Association will beavailable from the Company's registered office from today until the date of theExtraordinary General Meeting and will also be on display at the EGM for atleast 15 minutes prior to and until the conclusion of the EGM.
